We are the general counsel function for companies that do not yet have one and the overflow capacity for those that do. Company incorporation, subsidiary and branch structures, and the choice between them. Commercial contracting across supply, distribution, manufacturing, services, agency and franchising, drafted to the actual bargain rather than to a precedent. Contract portfolio reviews where the paperwork has drifted from the practice. Board and shareholder governance, resolutions, statutory registers and the filings under the Companies Act, 2013. Directors’ duties and personal exposure, which is a live question in India in a way it is not everywhere. Group reorganisations, capital reductions and buy-backs. Where a matter needs a licence rather than a lawyer, we say so and route it.
