Corporate Governance and Compliance
Indian directors are personally liable under more statutes than most boards have counted.
What we do
We build and audit compliance frameworks and we advise boards on the exposure they actually carry. Compliance mapping across the statutes that apply to a given business and its locations, which for a multi-state operation is routinely more than forty. Board processes, committee constitution, related party transactions and the approvals architecture. Director liability across company, tax, labour, environmental, food and sectoral legislation, including where liability attaches by designation and how an officer in default is fixed. Whistleblower and internal investigation policy. Anti-bribery frameworks, including the Prevention of Corruption Act, 1988 as amended and the extraterritorial reach of foreign legislation over Indian operations. Compliance certification to a foreign parent, which is usually the immediate reason an international group calls. Where the answer is a licensing exercise rather than a legal one we route it to the group’s compliance business and say so.
